Dennis Wood, based in Montreal

Mr. Wood is a highly respected self-directed venture capitalist who brings with him more than 30 years experience as a director and a manager. He is currently President and CEO of DWH Inc., as well as Interim President and CEO for GBO Inc. (formerly Le Groupe Bocenor Inc.). One of his many business achievements was at C-MAC Industries Inc., a world-leader in the design and manufacture of high-tech components and systems, where sales quadrupled during his 12-year term as President, Chairman and CEO, resulting in a successful merger of the Quebec-based company with Solectron Corporation of California.

Mr. Wood is a board member of National Bank Trust, Transat A.T. Inc., the Jean Coutu Group (PJC) Inc., GBO Inc., Rite Aid Corporation, and is Chairman of 5N Plus Inc.

Mr. Wood's philanthropic associations include the Orchestre métropolitain de Montréal, Bishop's University and Université de Sherbrooke, Centraide, the Fondation de l'Hôpital de Memphrémagog, and the Fondation des maladies mentales. He has received an honorary Doctorate from the Université de Sherbrooke, and Canada's highest honour, the Order of Canada.

Jean-Marc Lulin, Ph.D., geologist, based in Montreal

President and Chief Executive Officer, Director

Dr. Lulin is a senior mining executive with 27 years of international experience in North America, Africa and Europe. Since 2003, as President and CEO of Azimut Exploration, he reactivated the company and implemented a new business strategy. Mr. Lulin has designed a mineral potential targeting methodology which constitutes the cornerstone of Azimut's activity.

Prior engagements include:

  • President and Chief Operating Officer (1996-2001) and Vice President West Africa (1995-1996) of Channel Resources;
  • Chief Geologist at SOQUEM (1992-1995);
  • Chief Geologist at Vior-Mazarin Group (1986-1992); and
  • Geologist at the BRGM (1981-1984).

He has participated in the discoveries of the:

  • Bombore, Bouroum and Goulagou gold deposits in Burkina Faso (resources of 2.5 million ounces) with Channel Resources;
  • Douay gold deposit and Knife Lake flake graphite deposit in Quebec with Vior-Mazarin; and
  • Meponda, a large niobium, tantalum, uranium and rare earths occurrence in Mozambique with BRGM.

Mr. Lulin was instrumental in strengthening the initial wave of exploration in Burkina Faso during the 1990's. He was co-founder of the Burkinabe Mining Association and president of the Technical Commission of the World Bank-MIGA 6th African Mining Symposium. He currently sits as a Director of Channel Resources. Mr. Lulin was Associate Professor at the Université du Québec à Montréal (1992-1995) and was a consultant for The World Bank. During his career, Mr. Lulin has visited 170 mines and advanced projects in 14 countries.

Mr. Lulin holds a Doctorate in Economic Geology from the Université d'Orléans (1984), as well as a Diploma of Advanced Studies in Mineral and Energy Resources (1981), a M.A.Sc., Applied Geology (1980) from the Université de Paris VI in France.

Jean-Charles Potvin, MBA, based in Toronto

Director

Mr. Potvin is currently Chairman,of Tiomin Resources Inc. Tiomin's wholly owned subsidiary, Tiomin Kenya Limited, holds four large titanium mineral sands deposits. Tiomin also holds a 49% interest in the Pukaqaqa copper-gold deposit in Peru.

Until January 1994, Mr. Potvin was a Director and Vice President of Burns Fry Limited (now Nesbitt Burns Inc.) where he evaluated mining investment opportunities worldwide. He was also involved in securing financing for a number of North American gold producers. From 1994 to 2000, he was President and CEO of Pangea Goldfields Inc., which had extensive holdings in Tanzania, until its acquisition by Barrick Gold Corporation for $204 million.

Mr. Potvin is also a Director of Gold Reserve Corporation, a public natural resource company with holdings in Venezuela; of Polaris Energy, a company developing geothermal power in Nicaragua; and of Cadiscor Resources Inc..

He holds an Honours degree of Bachelor of Science in Geology from Carleton University and a Master of Business Administration degree from the University of Ottawa.

Louis P. Salley, LL.B., based in Vancouver

Director

Mr. Salley is Managing Partner of Salley Bowes Harwardt, a securities law firm that focuses on corporate finance, business and corporate law, with emphasis on the mining and oil and gas sectors. He has 30 years of Canadian and international practice as a barrister and solicitor.

Mr. Salley is member of the Board of Directors of the Canada Post Corporation (Crown Corporation), Channel Resources Ltd. and Katimavik (a not-for-profit national youth service organization).

Mr. Salley graduated with a B.A. in History & Economics and a LL.B. from the University of Alberta. He is a member of the Law Societies of Alberta and British Columbia.

Pierre Toth, M.Sc., based in Montreal

Director

Mr. Toth is a professor at HEC Montréal, the business school of the University of Montréal. He is also a Strategic Advisor of Cycle Capital Management ("CCM"), manager of Fonds d'investissement en développement durable (FIDD), a private equity fund specializing in the clean technology and renewable energy sectors. FIDD is sponsored by the Fonds de solidarité FTQ, the Fondaction le fonds de développement de la CSN, and the Fonds d'action québécois pour le développement durable.

Mr. Toth's previous positions included Vice-President of Finance for Transénergie HQ (Hydro-Québec International); Vice-President of Planning, Budgeting, Mergers and Acquisitions for Molson; Vice-President Corporate Planning and Treasurer for Telesystem International Wireless; Vice-President and Treasurer for Groupe Vidéotron; and Director of Corporate Finance for the Caisse Centrale Desjardins. Mr. Toth holds a M.Sc. in Finance from HEC (Montréal), a Master of Economy in Econometrics (University of Paris) and a Bachelor of Law (University of Paris).
